Governance & Compliance Section Head
Job purpose
The job holder is responsible for managing Governance & Compliance section activities including improving the development and implementation of corporate governance and compliance policies and procedures, performing compliance audits, and raising awareness on corporate governance and compliance practices to promote proper corporate governance and compliance practices across CHI.
Responsibilities
Keep abreast of latest national and international standards for corporate governance and compliance to develop CHI corporate governance policies, framework, and guidelines
Review and provide improvement recommendations concerning CHI corporate governance and compliance framework, policies, and procedures to avoid unethical practices, unsuitable decision-making models, and unstructured organization and reporting activities in CHI practices
Provide advice concerning policies and procedures encouraging whistle blowers to report internal unethical and fraud practices while guaranteeing their role protection and privacy
Provide input in defining/ updating executive level committees, setting related objectives, clarifying mandate, roles, and responsibilities, and organizing workflow between BoD, SG, executive team, and direct reports
Assess developed performance authority matrix of all executive level committees and provide support in measuring achievement of performance targets
Evaluate and amend developed Delegation of Authority matrix including key decisions and concerned stakeholders to structure reporting systems and specify accountabilities ensuring transparency in CHI practices
Manage the implementation of governance and compliance framework through policies and procedures to ensure employees adhere to set requirements in their daily work operations
Ensure periodic compliance audits and internal reviews are conducted on all CHI departments to identify non-compliance cases
Manage the evaluation of received anonymous complaints to encourage non-compliance reporting, protect privacy of whistleblowers, and maintain a healthy internal environment at CHI
Provide input in developing Root Cause Analysis (RCA) of non-compliance practices, classifying cases, and assessing impact on CHI in coordination with concerned stakeholders
Review developed reports on findings of compliance audits to assess and resolve non-compliance cases within CHI
Manage the development and update of corrective action plans and follow up with concerned stakeholders on implementation to address and resolve non-compliance cases
Assess and resolve escalated cases of non-compliance that require investigation and propose plans for remediation in line with National Compliance Framework
Provide support in raising awareness on governance and compliance practices and promote corporate governance and compliance culture within CHI through awareness programs
Oversee team members trainings in workshops/ meetings to develop and implement governance and compliance frameworks, executive level committees, performance authority matrices, delegation of authority matrices, audits and internal reviews, root cause analysis, and remediation plans
Review developed reports to evaluate CHI corporate governance and compliance practices, determine gaps to avoid corporate malpractices, identify areas for improvement, and provide recommendations to improve current practices
Education, Certifications
Bachelor’s Degree in Business Administration or a related field
GRC Professional (GRCP) certification is required or a related field
Knowledge of ISO 37000 or ISO 37301 is required
Proficient in oral and written English language
Experience
7+ years of relevant experience
Experience in governance frameworks, executive level committees, performance authority matrices, delegation of authority matrices, corporate governance awareness
Experience in compliance frameworks, audits and internal reviews, root cause analysis, corporate compliance awareness
